they can't co-opt any more. no more than one third of the HUST board can be co-opted directors according to the constitution. um. having said that it looks like they currently have 2 co-opted board members out of five? www.hufctrust.co.uk/board-members/i guess it all depends on how many board members HUST actually has at present. it would be good to have a clear understanding of who is still on the HUST board, who has resigned, who has stood down, and who is intending to stand down at the AGM. the available information is far from clear.

Yet an AGM is annual. yes they will 'normally' serve for two years according to the constitution. but there is also a requirement for the longest serving half of elected directors to resign each year. this would not 'normally' prevent anybody serving two years as far as i can work out.... at this AGM for example the longest serving would probably be the chair and vice chair. both of whom have already served two years. that's how i understand it anyway. other opinions are probably available......

There are no set procedures for HUST appointments to the board of Hereford FC Ltd (another thing that needs to be resolved.) The present HUST board appear to be making the appointments/nominations under a clause giving them authority "to do anything else not specifically covered in the constitution" (or some similar wording.) Thus they need not restrict their nomination to a HUST board member or even a HUST member, although that would not go down too well.

Cheers It's such a shame it's so complicated. I can't see why The Chair and Vice can't stay on. They have done so much (with others) to get HUST and then HFC up and running. So just for clarification the Chair and Vice Chair of HUST automatically get a seat on the HFC board?

If the board are not quorate then they are not allowed to do anything other than get the board up to strength.
Step one will be to adopt an election policy that is fit for purpose. The current one isnt.
I suspect that they will take the standard supporters direct policy on board.
Then they will have to run the election to that policy.
This would mean asking candidates to resubmit nominations and also soliciting new nominations.
This has to be done 8 week before the meeting. So as you can see there wont be a new board in the near future.
Of course with the new election being run properly there may be more people willing to take part and there should be an election.
But you all need to renew your membership if you want a voice.
The current shambles must raise question marks over Messrs Williams and Watson representing HIUST on the HFC board. Do they have the sklls to do so ?
